Alia is a Partner and Head of the Employment practice group within the firm’s Corporate, Commercial & Regulatory department. She has been part of the firm’s senior leadership team since its establishment in 2019. Due to her profound experience, Alia provides her clients with comprehensive legal support regarding local employment and HR matters. She also advises clients on their day-to-day employment, social insurance, and commercial law matters.

Alia manages all aspects related to the onboarding of new hires, reviews all internal policies and ratifies the same, handles the collection of personal data, localizes employment contracts, and offers day-to-day advice on different employment and social insurance matters, as well as advice on redundancies, terminations, and amicable settlements with employees. Additionally, she advises and assists clients with employee transfers, outsourcing arrangements and risks, government inspections and enforcements, and investigations. Furthermore, she advises on employee statutory rights and benefits, as well as those voluntarily granted by employers, and assists in drafting all necessary templates related to the employment cycle, from onboarding through offboarding. In addition to the above, she has extensive experience advising international and multinational clients on local employment issues, redundancies, employees’ performance issues and investigations, the disciplinary process, review, and implementation of internal policies.

In addition, Alia assists and handles the employment aspects of restructuring, M&A transactions, and post-acquisition matters. She also provides direct training for numerous clients’ HR departments, including companies with a labour pool of over 1,000 employees, and collaborates with several joint firms’.

Moreover, Alia is highly skilled in drafting and reviewing all types of commercial agreements and advises on various aspects of commercial law, including agency, distribution, intellectual property, trade & services, anti-dumping, export and import. She also offers advice on general corporate matters. Alia is well-versed in banking & finance, covering bilateral and syndicated loans, international and local financings, project finance, securities and collateral issues, and M&As. She has also worked in Egypt’s TMT sector, representing major TMT companies and a multinational corporation specializing in Internet-related products and services.

Alia has over a decade of experience, is fluent in Arabic, English and French and is qualified to practice law in Egypt.

Advised a multinational pharmaceutical company on employment compliance, drafting templates for different employment contracts, preparing templates for all necessary documentation related to onboarding and offboarding of employees, ratifying their internal and disciplinary regulations before the labour office, and preparing a case opinion.

Advised a U.K. airlines company about local entitlement on retirement in Egypt, severance pay and drafting of employment agreement template.

Advised a financial software company on employees’ transfer and the statutory requirements associated to same.

Advised a multimedia communication company on the logistics and settlement strategies for their country manager and handling the negotiations.

Advised a multinational dairy products company in the settlement strategies of one of its employees, including preparing a risk report, comparing the pros and cons of limited vs unlimited term employment agreements and advising on compliance with local laws.

Advised Rich Food, an Egyptian premier frozen and processed meat and poultry provider, on the sale of its majority stake to Ezdehar Egypt Mid-Cap Fund, a private equity fund manager investing in high-growth businesses..

Acted as the legal counsel to Ismailia Investments (Atyab) shareholders on the sale of their majority stake of 75.02% to Agthia Group.

Assisted in the acquisition of Beltone Financial Holding by Orascom Telecom Media & Technology Holding.

Assisted in the sale of Piraeus Bank S.A.’s Egyptian subsidiary Piraeus Bank Egypt (“PBE”) by Al Ahli Bank of Kuwait (“ABK”).

Assisted, among other banks, Crédit Agricole Corporate and Investment Bank on an export credit financing agreement granted to Egypt, acting through its Ministry of Defence, to purchase 24 Dassault’s Rafale fighter jets, a FREMM multi-mission naval frigate and missiles with a total purchase price of US$5.9 billion.

Advised our client on the risks of outsourcing over than 50k personnel to provide their customers with certain services and assessed the litigation and government enforcement risks.

Reviewed, customized and tailored employment-related policies of one of our clients that transformed its legal form from a state-owned entity to a privately-held company.

Advised a leading regional marketing communications group on the reduction of the base salary by 25% for its employees in Egypt, in light of the Covid-19 pandemic during.

Advised on the re-opening guidelines for the offices in Egypt during Covid-19 as well as the plan of coping with the Covid-19 pandemic and the reopening precautions that shall be taken as per the Egyptian government plan.

Advised on the launch of a construction machine embedding a certain 4th Generation (4G) wireless device in Egypt and its licensing requirements and type approvals and the data localization regulation.

Advised on the launch of a new Visual ID feature to its echo devices.
