Habiba joined ADSERO – Ragy Soliman & Partners’ Capital Markets and M&A team in 2020 as a Junior Associate and is currently an Associate. Prior to joining ADSERO, Habiba interned in top-tier law firms. Habiba works across varying industries and is experienced in multiple legal disciplines, including M&As, Capital Markets, Corporate Structure, Employment, Islamic finance, Sukuk and General Corporate and Commercial.
In addition, Habiba has experience drafting and reviewing all types of commercial agreements, providing legal advice on transactional & non-transactional corporate and regulatory matters, advising on restructuring plans and strategies, executing M&A transactions, conducting legal due diligence and legal research, and drafting and reviewing transaction documentation. Additionally, Habiba handles all regulatory work in connection with the issuance of different types of licenses for industrial and commercial premises.
Advised the sellers of Ismailia Investment Company (Atyab) on the sale of a majority stake of 75.02% to Agthia Group PJSC.
Acted as the local legal counsel to WaffarX, the first cashback website in the MENA region, on a funding round with the participation from A15.
Advised Americana Group on the sale of its stake in Al-Hashemeya for Land Reclamation and Cultivation S.A.E to Chimera Investments LLC.
Handled a complex transaction for the sale of land and companies by AmericanaGroup in relation to the divestment of its dominant majority stake in Karawin for Agriculture and Reclamation Company.
