Senior Associate

Karima is a Senior Associate in ADSERO – Ragy Soliman & Partners’ Banking and Project Finance practice area. Karima was also an Associate in the Banking & Finance team at several top-tier law firms in Egypt. In addition, Karima is a dually qualified lawyer in Egypt, England and Wales.

She has more than five years of experience in banking, project finance, non-banking financial services, financial technology, capital markets, general corporate and engineering, procurement, and construction contracts.

Karima regularly represents local and international banks, companies and investment banks concerning loan agreements and various financing structures. In addition, Karima has ample knowledge in sovereign/public and private bonds and Sukuk issuances, Islamic finance, debt and equity capital markets, derivatives, aircraft and asset financing, trade and export financing, project finance, and securitization.

Acted as external local counsel to EBRD in signing their latest green project with Abou Ghaly Motors (AGM). The financing extended by EBRD to AGM will be utilized to expand AGM’s fleet of electric London cab vehicle.

Represented the National Bank of Egypt and Arab African International Bank on an EGP 1.8 billion financing loan to Hassan Allam Properties for the development of Swan Lake West.

Advised the Egyptian Ministry of Finance on a USD 4.5 billion and EURO 1.5 billion international bond issuance in 2018, in addition to updating the sovereign bond issuance program of the Arab Republic of Egypt up to USD 20 billion.

Advised the Egyptian Ministry of Finance on a USD 5 billion international bond issuances.

Represented Telecom Egypt (TE) in relation to long terms facility agreements of USD 700 million before a syndication of Islamic and conventional banks.

Advised Cairo Three A on an Islamic Ijara Financing extended by Adu Dhabi Islamic Bank Egypt S.A.E

Acted as Egyptian local counsel to Telecom Egypt Company (TE) in relation to a medium-term loan of EUR 150 million (USD 167 million) from the European Investment Bank (EIB).

Advised the Egyptian Ministry of Finance on a USD 4.5 billion and EUR 1.5 billion international bond issuance in 2018 and updated the sovereign bond issuance program of the Arab Republic of Egypt to up to USD 20 billion.

Advised the Egyptian Ministry of Finance on a USD 3.75 billion Eurobond issuance for the fiscal year 2021/2022.

Advised the Egyptian Ministry of Finance on updating the Arab Republic of Egypt’s existing Global Medium-Term Note Programme from USD 30 billion to USD 40 billion.

Advised Telecom Egypt Company in relation to several loan agreements, including:

  • A USD 700 million long term facility before a syndication of Islamic and conventional banks; and
  • A USD 200 million facility before the African Export-Import Bank.

Acted as local legal counsel to Siemens Mobility in its contract with the Egyptian Government in relation to Egypt’s first-ever high-speed electric rail system.

Advised Nexant in relation to a Waste Lube Oil Collection and Refining Facility Project developed in Egypt by Elsewedy Electric S.A.E.

Advised the European Bank for Reconstruction and Development (EBRD) on a USD 200 million facility extended to City Center Almaza S.A.E.

Advised Maridive & Oil Services S.A.E in relation to a USD 50 million loan granted by the European Bank for Reconstruction and Development (EBRD).

Advised El Nasr for Coke & Chemicals in relation to a USD 500 million EPC contract with a Ukraine EPC engineer contractor.

Advised Al Nasr for Coke & Chemicals on its USD 150 Million loan from local banks.

Acted as legal counsel to Delta Steel Company in relation to the drafting of a turnkey agreement in relation to DELTA STEEL MILL CO. Phase two-development project to increase the production of the factory to 500,000 tons steel billets annually.
