Managing Associate

Nada is a Managing Associate at ADSERO – Ragy Soliman & Partners’ Corporate, Commercial & Regulatory team. She has over five years of experience in multiple legal sectors, including general corporate, commercial and pharmaceuticals.

Nada advises several multinational companies on day-to-day matters, including, inter alia, incorporation, restructuring and liquidation of companies, taxes, social insurance, negotiations, employment, corporate governance, and commercial matters.

She has experience drafting and reviewing various commercial agreements, including inter-alia, service, employment, outsourcing, construction, distribution, supply, lease, agency, MA acquisition, toll manufacturing, marketing, settlement and termination agreements.

Furthermore, Nada handles all regulatory work related to drafting, reviewing and ratifying corporate assemblies, issuing different licenses for industrial and commercial premises and work, and residential permits.

Moreover, she represented national and multinational clients through direct interaction with governmental authorities such as GAFI, EDA, NOSI, GOEIC, ECA, CAPA, ITDA, MCDR, ETA, IDA, FRA, FEI, and ETUF.

Have been seconded at Viatris, which is one of the leading pharmaceutical companies in the world; for 3 years, where she acted as an in-house counsel for all subsidiaries of Viatris and Mylan in Egypt, handling all legal-related matters, including, inter alia, advising on day-to-day matters in relation to business operation in Egypt, drafting and reviewing various types of contracts, policies and MOUs for projects incorporated between Viatris and the Egyptian governmental authorities.

Handled all corporate and regulatory matters for the change of name and rebranding of “Pfizer Egypt” to “Viatris Egypt”.

Advised a multinational company on opening business in Egypt, including the pre-hiring process of employees, the hiring procedures, employer’s obligations, termination of employment and all associated risks.

Prepared an exhaustive list of trade agreements concluded by Egypt, the granted incentives pursuant to each agreement and the beneficiary member-states.

Advised Amazon on diverse matters in relation to its operation in Egypt.

Advised Mylan Inc. on the writing off its scientific office in Egypt and the transfer of its employees.

Handled the ownership transfer of a pharmaceutical product and drafted all the necessary documents and contracts to implement such transfer.

Handled the negotiations and amicable settlement procedures for a dispute between two companies to avoid resorting to the courts.

Handled the internal investigations of employees, drafted the relevant documentation, and advised on their incidents and the corrective measures to be carried out.

Advised on statutory obligation for hiring employees with disabilities.

Advised local and international companies on restructuring, corporate, commercial, and regulatory matters in Egypt.

Advised local and international companies on employment redundancies and employee transfers.

Contributed to the issuance of an advisory opinion by the General Organization for Export and Import Control regarding the cancellation of the writing off procedure in case of amending the address of an importation company between two Governorates.

Advised a major multinational construction company on its day-to-day business matters, including inter-alia, the registry at the Egyptian Federation for Construction & Building Contractors.

Drafted a Bareboat Charter for a major multinational shipping and logistics services company.

Drafted several employment due diligence reports for companies.

Ran a comparison between internal work regulations under the Labour Law and the Civil Service Law.

Drafted JV and Management Agreement for the management and operation of a state-owned hospital in coordination with the private sector.

Drafted a memo on the statutory compulsory pricing of pharmaceutical products, including the practice insight.

Advised on incorporation procedures of a company in the Suez Canal Free Zone.

Advised on exporting under the COMESA Agreement.
